THIS SWEEPSTAKES WILL BE GOVERNED BY THE LAWS OF THE STATE OF NEW YORK, UNITED STATES OF AMERICA. ENTRANTS FROM CANADA, THE UK, GERMANY, THE REPUBLIC OF IRELAND, FRANCE, AND THE NETHERLANDS MAY HAVE MORE BENEFICIAL RIGHTS UNDER MANDATORY CONSUMER LAWS IN THOSE JURISDICTIONS WHICH WILL APPLY IRRESPECTIVE OF THE ABOVE CHOICE OF LAW. DO NOT ENTER IF YOU ARE NOT ELIGIBLE.

    TO THE EXTENT PERMITTED BY LOCAL LAW, BY ENTERING THIS SWEEPSTAKES YOU AGREETO AND ARE BOUND BY THE TERMS, CONDITIONS, POLICIES AND NOTICES CONTAINED IN THED’ADDARIO TERMS AND CONDITIONS OF USE WHICH ARE EXPRESSING INCORPORATED BY REFERENCE (THE “TERMS OF USE”), INCLUDING, BUT NOT LIMITED TO, BINDING ARBITRATION, AND A CHOICE OF LAW PROVISION. SEE SECTION 10 BELOW.

    1. Eligibility: The 50 Years of Strings Sweepstakes (the “Sweepstakes”) is open to individuals who at the time of entry are at least the legal age of majority in their state/province/country and are legal residents of one of the fifty (50) United States, the District of Columbia, the United Kingdom, France, Germany, the Netherlands, the Republic of Ireland, or Canada, excluding each jurisdiction’s respective overseas territories, (each an “Entrant”). Employees, contractors, directors, officers, and agents of D’Addario & Company, Inc. (“Sponsor”), its parent, affiliates, subsidiaries, distributors, sales representatives, authorized retailers, artists, and advertising, promotion and judging agencies, and all other service agencies involved with the Sweepstakes, and members of the immediate family (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) or of the household of any such employee, contractor, director, officer, or agent (whether or not related) are not eligible to enter or win. This Sweepstakes is void where prohibited or restricted by law.

    Entrant fully and unconditionally agrees to these Official Rules. Winning a Prize is contingent upon fulfilling all requirements set out below.

    2. Sponsor: D’Addario & Company, Inc. 595 Smith Street, Farmingdale, New York, 11735.

    3. Sweepstakes Entry Period: The Sweepstakes begins on 21 October 2024 at 09:00:00 a.m. Eastern Daylight Saving Time (“EDST”) and ends on 10 November 2024 at 11:59:59 p.m. EDST (the “Sweepstakes Entry Period”). All Entries must be received before the Sweepstakes Entry Period end time/date to be valid.

    4. How to Enter: During the Sweepstakes Entry Period, go https://www.daddario.com/playerscircle/perks/giveaways/fifty-years-of-strings (“Website”) and complete and submit the form by providing your first and last name, e-mail address, country of residence, and primary instrument to receive one (1) entry into the Sweepstakes (“Entry”). Individuals who do not follow all instructions, do not provide the required information in the Entry form, do not fully complete and/or submit the Entry form, and/or do not abide by these Official Rules or other instructions of Sponsor may be disqualified, all in Sponsor’s sole discretion. Limit: One (1) Entry per person or e-mail address during the Sweepstakes Entry Period.

    Automated entries are prohibited, and any use of automated devices will cause disqualification. Entrants may not enter with multiple e-mail addresses nor may Entrants use any other device or method to enter multiple times or as multiple Entrants. Any Entrant who attempts to enter with multiple e-mail addresses, under multiple identities, or uses any device or method to register multiple times will be disqualified and forfeits any and all prizes won, in Sponsor’s sole discretion. Multiple Entrants are not permitted to share the same e-mail address. Should multiple users of the same e-mail account enter the Sweepstakes and a dispute thereafter arise regarding the identity of the Entrant, the authorized account holder of said e-mail account at the time of Entry will be considered the Entrant. “Authorized Account Holder” is defined as the individual who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. The potential winner may be required to show proof of being the Authorized Account Holder to the extent necessary.

    5. Drawing: On or around 12 November 2024, Sponsor will randomly select one (1) potential Grand Prize Winner and then fifty (50) potential Runners Up Prize Winners (collectively “Potential Prize Winners”) from among all eligible Entries received during the Sweepstakes Entry Period. The odds of winning a prize depend on the number of eligible Entries received by Sponsor. Up to twenty-five (25) alternates will also be randomly drawn on the same day, after the initial draw of the Potential Prize Winners. Alternates will be retained in case a Potential Prize Winner cannot or does not comply with all requirements for receipt of a prize in the Sweepstakes, in which case Sponsor may select alternates as “Potential Prize Winners” in the order in which they were drawn.

    On or around 14 November 2024, Potential Prize Winners will be notified via the e-mail address and/or telephone number provided during entry into the Sweepstakes (“Date of Notification”). Potential Prize Winners are subject to verification. Only for Potential Prize Winners who are residents of Canada, each Potential Prize Winner will be notified by Sponsor at the e-mail address and/or telephone number provided during entry into the Sweepstakes and will be required to correctly answer a time-limited skill testing question without any assistance in order to be eligible to receive a prize. If a potential winner of any prize cannot be contacted, fails to correctly answer the skill testing question in the time frame prescribed, the Potential Prize Winner forfeits the prize. If a Potential Prize Winner is found not to be in compliance with these Official Rules, if attempted notification or any prize is returned as undeliverable, if a winner cannot be verified, or if a winner is otherwise unable or unwilling to accept and claim the prize as stated, then the Potential Prize Winner may be disqualified and/or forfeits receipt of any prize. In the event that a Potential Prize Winner is disqualified for any reason or forfeits a designated prize, Sponsor reserves the right to award the prize to an alternate. Except where prohibited, and to the fullest extent permitted by applicable law, potential winners may be required to complete, sign and return an Affidavit of Eligibility/Liability Release, and a Publicity Release, within seven (7) business days of attempted notification or prize will be deemed forfeited. Sponsor is not responsible for any change of e-mail address, mailing address, and/or telephone number of Entrants that may result in misdirected, late, or undelivered mail or other failure to reach and/or notify the Potential Prize Winners.

    6. Prizes: One (1) Grand Prize: “50 Years of Strings” consisting of (a) A Taylor® 50th Anniversary AD14ce guitar, the exact model and finish of which will be at the discretion of Sponsor (approximate retail value (“ARV”): $2,000 USD, $2,750 CAD, £1,550 GBP, €1,800 EUR; and (b) Guitar strings, awarded in one of two ways, upon valid, timely election by the Grand Prize

    Winner: (i) An annual automatic deposit of Players Circle Points in an amount approximately equivalent to the estimated ARV of twelve (12) sets of D’Addario EXL110 Nickel Wound, Regular Light, Guitar Strings, or similar D’Addario strings of equal or lesser value, determined in Sponsor’s sole discretion (a “Year’s Worth of Guitar Strings”), for fifty (50) years, starting in 2025 and ending in 2075, unless a “Prize Termination Occurrence” as defined below occurs prior to 2075. NOTE: a Prize Termination Occurrence may result in a termination of the annual deposit of Players Circle Points into the Grand Prize Winner’s Players Circle Points account, even if all fifty years of deposited points have not occurred. In 2024, 15,000 Players Circle Points is the equivalent to the estimated ARV of a Year’s Worth of Guitar Strings (ARV: $100 USD, $137 CAD, £78 GBP, €92 EUR).

    OR

    (ii) a one-time deposit 360,000 Players Circle Points as a “lump sum” award into the Grand Prize Winner’s Players Circle Points account. If Grand Prize Winner elects to receive the “lump sum” award of Players Circle Points, the Grand Prize Winner will also receive a one-time payment in cash in an amount of $1,000 to offset some or all of the potential income tax liability associated with the “lump sum” award of Players Circle Points. ARV: $3,400 USD, $4,600 CAD, £2,600 GBP, €3,050 EUR.

    The election of either alternative (i) or (ii) must occur at the time when the Potential Grand Prize Winner executes and returns his or her Affidavit of Eligibility/Liability Release, and a Publicity Release. If Potential Grand Prize Winner fails to make a valid, timely election, the default will be alternative (i). Regardless of the Grand Prize Winner’s election, if a Grand Prize Winner does not already have a Players Circle Points account, he or she must establish one (free of charge) within seven (7) days of execution and return of the Affidavit of Eligibility/Liability and Publicity Release in order to receive the Grand Prize points. Total ARV of Grand Prize: Up to $7,000 USD, $9,600 CAD, £5,450 GBP, €6,350 EUR.Up to Fifty (50) Runner Up Prizes: 15,000 Players Circle Points, the equivalent of a Year’s Worth of Guitar Strings in 2024, automatically deposited into the Runner Up Winner’s Players Circle Points account. If Runner Up Prize Winner does not already have a Players Circle Points account, he or she must establish one (free of charge) within seven (7) days of Runner Up Prize Winner’s Date of Notification. Total ARV of Runner Up Prize: $100 USD, $137 CAD, £78 GBP, €92 EUR. Total announced prize ARV of all prizes: Up to $12,000 USD, $16,450 CAD, £9,350 GBP, €10,900 EUR.

    Limit: One (1) prize per person, e-mail address, or household. Prizes are non-transferable and no cash equivalent or substitution of prize is offered, except at the sole discretion of the Sponsor. Prizes are also non-descendible, meaning that in the event of a winner’s death before a prize is awarded in part or in full, the prize will not pass to the winner’s heirs or descendants either by will or operation of law. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute the prize (or a component thereof) with another prize of equal or greater value. Prize winners will be solely responsible for all applicable federal, state and/or local taxes, and for any other fees or costs associated with the Prize they receive, regardless of whether it, in whole or in part, is used. If Grand Prize Winner is a non-resident alien under U.S. law (e.g., a resident of an eligible jurisdiction outside of the United States), Sponsor may be required to withhold an amount equal to 30% of the fair market value of the Grand Prize, in which case the one-time “gross up” cash payment will not be paid to the Grand Prize Winner electing alternative (ii) directly but instead will be paid to the U.S. Internal Revenue Service in accordance with U.S. law. Grand Prize Winner will be notified of such payment in case he or she wishes to recover some or all of that amount in accordance with an applicable tax treaty. Please allow 4-6 weeks for shipment of guitar component of Grand Prize after confirmation. Prize values are based on the conversion rates from USD as of August 9, 2024, and the difference, if any, shall not be awarded.

    “Prize Termination Occurrence” Contingency: In connection solely with the award of the Grand Prize alternative (i), the Grand Prize shall terminate earlier than 2075 if (a) the Grand Prize Winner’s Players Circle account is terminated for any reason, including without limitation, the Grand Prize Winner’s violation of the Terms and Conditions of Use, which are hereby incorporated by reference; (b) the Grand Prize Winner dies; (c) Sponsor completely ceases operation; (d) Sponsor terminates the Players Circle loyalty program, as provided under the Terms and Conditions of the Use for the program; or (e) Sponsor elects in its sole discretion to convert the Grand Prize Winner’s prize to accelerated payout. In the event of termination of the Players Circle loyalty program, as contemplated by clause (d) above, or because of the Sponsor’s election pursuant to clause (e) above, Sponsor will pay Grand Prize Winner by check (in USD) the pro rata value of the remaining years based on the then-current estimation by Sponsor in its sole discretion of the ARV of a Year’s Worth of Guitar Strings.

    7. Release; Limitation of Liability: As a condition of entering and to the maximum extent permitted by law, Entrants agree (and agree to confirm in writing): (a) to release Sponsor and its affiliates, subsidiaries, retailers, and agents, and each of their officers, directors, employees and agents (“Released Parties”), from any and all liability, loss or damage incurred with respect to the awarding, receipt, possession, and/or use or misuse of any Prize; (b) under no circumstances will any Entrant be permitted to obtain awards for, and Entrant hereby knowingly and expressly waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses and/or any rights to have damages multiplied or otherwise increased; (c) all causes of action arising out of or connected with this Sweepstakes, or any Prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred (if any), excluding attorneys’ fees and court costs. This paragraph will not apply to entrants in the UK or European Union. UK and European Union entrants generally: Where permitted by law, Sponsor and its affiliates, subsidiaries, retailers, and agents, and each of their officers, directors, employees, and agents will not in any circumstances be responsible or liable to compensate a winner or accept any liability for any loss, damage, personal injury, or death occurring as a result of taking up the prize except where it is caused by the negligence of Sponsor, its affiliates, subsidiaries, retailers, or agents. Statutory rights available to consumers under local law are not affected by this paragraph. In particular, with respect to Entrants residing in Germany, the before-mentioned limitations of liability shall not limit in any way our liability for (i) breach of Essential Contractual Obligations (“Essential Contractual Obligations” are contractual obligations which must be fulfilled to permit proper execution of the Official Rules and the fulfillment of which may regularly be relied upon by Entrant when entering into these Official Rules),however, our liability for slightly negligent breaches of Essential Contractual Obligations shall be limited to typically foreseeable damages; (ii) death; (iii) bodily injury or illness; (iv) acts of gross negligence; (v) acts of premeditation (intentional breach); (vi) liability which is based on a guarantee (i.e. an express commitment to be liable for damages even in the absence of any negligent or intentional breach); and (vii) product failures under the German Product Liability Act (Produkthaftungsgesetz), if applicable. In particular, with respect to Entrants residing in France, the before-mentioned limitations of liability shall not limit in any way Sponsor’s liability for (i) death; (ii) personal bodily injury or illness; (iii) acts of gross negligence; (iv) acts of and premeditation (intentional breach); and (v) violations of cardinal contractual obligations and for liability which is based on a guarantee, in particular the legal warranty (including the warranty for hidden defects) owed by the manufacturer of the products awarded as prizes, if any.

    8. Publicity: Except where prohibited by law and subject to Sponsor’s Privacy Policy referenced in Section 11 below, each winner grants (and agrees to confirm this grant in writing, if requested) permission for Sponsor and those acting under its authority to use his/her name, photograph, and/or likeness, for advertising and/or publicity purposes related to this Sweepstakes in any and all media now known or hereinafter invented without territorial or time limitations and without compensation.

    9. General Conditions: Except where prohibited by law, the Sponsor is not responsible for lost, late, misdirected, undelivered, incorrect, or inaccurate Entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes, the Website, or by any technical or human error which may occur in the processing of the Entries. Sponsor reserves the right, subject to the entrants’ reasonable prior notice, to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, bugs, virus, technical failures, or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes and/or Website, as determined by Sponsor in its sole discretion. In the event of cancellation, Sponsor may randomly award the Prize(s) from among all eligible, non-suspect Entries received prior to cancellation. To the fullest extent permitted by applicable law, Sponsor is not responsible for computer system, phone line, hardware, software or program malfunctions, or other errors, failures or delays in computer transmissions, the Website, or network connections that are human or technical in nature. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the Entry process, the Website, or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately

    undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law in some territories, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Nothing in this Section 9 shall be interpreted as limiting the Released Parties’ liability beyond the limitations of liability set out in Section 7 above.

    10. Governing Law & Jurisdiction: You and Sponsor agree that any controversy or claim arising out of or relating to your participation in the Sweepstakes shall be settled by binding arbitration at such location as may be mutually agreed upon by the parties or in a location determined by the arbitrator as set forth herein, in accordance with the applicable procedural rules set forth in the then prevailing Comprehensive Arbitration Rules and Procedures of JAMS, subject to the JAMS Consumer Arbitration Minimum Standards ("JAMS Rules and Procedures”). Judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The JAMS Rules and Procedures are available at www.jamsadr.com or by calling (800) 352-5267. The arbitrator shall be selected pursuant to the JAMS

    Rules and Procedures. Notwithstanding the foregoing, you may assert your claims in small claims court if your claims satisfy the jurisdictional requirements of such small claims court and so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis. The Federal Arbitration Act shall govern the enforceability, interpretation and effect of terms set forth in this provision. The arbitrator shall apply New York law or applicable federal law consistent with applicable statutes of limitations and shall honor claims of privilege recognized at law. Payment of the parties’ costs and fees owed to JAMS and the arbitrator will be determined by the JAMS Rules and Procedures and fee schedule, and in such case will be subject to any limitations on the costs and fees owed by you as provided in the JAMS Rules and Procedures. If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the rules and procedures established by JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute.

    THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL NOT BE IN IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

    Without in any way limiting the foregoing, you and Sponsor agree that any individual arbitration commenced by you or by Company may be consolidated with any other individual arbitration(s) pending before JAMS in accordance with JAMS Comprehensive Rule 6(e), provided that either party makes such request.

    BY AGREEING TO THE ARBITRATION OF DISPUTES AS SET FORTH HEREIN, YOU AGREE THAT YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND LIMITING YOUR RIGHT TO APPEAL AND YOU UNDERSTAND THAT YOU ARE WAIVING YOUR RIGHTS TO OTHER AVAILABLE RESOLUTION PROCESSES, SUCH AS A COURT ACTION. DO NOT ENTER THIS SWEEPSTAKES IF YOU DO NOT AGREE TO THE FOREGOING BINDING ARBITRATION PROVISIONS.

    Notwithstanding the foregoing arbitration terms, the dispute requirements in this Section do not apply to residents of the UK and EU. For residents of the UK and EU regardless of the requirements in this Section, all issues arising in connection with the Sweepstakes shall be governed by the relevant law with jurisdiction in the competent court of the participant’s domicile. To the fullest extent permitted by applicable law, this Sweepstakes and its Official Rules are governed by the laws of the State of New York, United States of America, without giving effect to the conflict of laws rules thereof. By entering this Sweepstakes, you agree that any and all disputes regarding this Sweepstakes not subject to the arbitration provision set forth herein will be subject to the courts located in Suffolk County, New York (provided that the Federal Arbitration Act shall govern the enforceability, interpretation, and effect of terms set forth in the mandatory arbitration provision above).

    YOU AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS SITE AND/OR THESE TERMS, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION.

    Entrants from the UK have additional rights under applicable consumer and other laws, regulations and codes in the UK. For Entrants residing in Germany, the Netherlands, France, and the Republic of Ireland, the above choice of law does not restrict the application of mandatory consumer protection laws in the Entrant’s country of residence to the extent such mandatory consumer protection laws are more favorable for the Entrant than the law chosen. Any matters or proceedings arising out of this Sweepstakes shall take place in the State of New York, in the County of Suffolk. However, Entrants from the UK, Germany, France, the Netherlands and the Republic of Ireland may additionally bring actions in their local courts, and any proceedings against Entrants from Germany, the Netherlands and the Republic of Ireland may only be brought in the courts in the country where they are domiciled.

Entrant's Personal Information: Please see the Privacy Policy located at http://www.daddario.com/DaddarioPrivacyPolicy.Page for details of Sponsor’s policy regarding the use of personal information collected in connection with this Sweepstakes. The Privacy Policy does not form part of these Official Rules. By entering this Sweepstakes, you understand that your personal information collected in connection with this Sweepstakes will be collected, stored, and processed in the United States of America. Except where prohibited by law, if you are selected as a winner, your information may also be included in a publicly available winner’s list.

    12. Winner’s List: A winner’s list is available by request at https://support.daddario.com/hc/enus/requests/new. Requests must be received by 13 December 2024.
